Terms of Service

GramGrams is operated by MAGIM LLC (“MAGIM,” “we,” “us,” or “our”). These Terms of Service (“Terms”) are a legal agreement between you and MAGIM governing your access to and use of the GramGrams website, apps, and services (together, the “Service”). Please read them carefully. By creating an account, making a purchase, or otherwise using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. Who may use GramGrams

You must be at least 18 years old and able to form a binding contract to use the Service. By using it, you represent that you meet these requirements. The Service is not directed to children under 13, and we do not knowingly collect their personal information. An older person whose story you record does not need an account and is not required to agree to these Terms — but you are responsible for the obligations in Section 3 with respect to them.

2. What GramGrams does

GramGrams helps families record, transcribe, translate, and preserve spoken stories — typically conversations with elderly parents or grandparents — and turn them into a keepsake. Features include guided question prompts, photo-based prompts, in-person and shared-link recording, automated transcription and bilingual translation, audio playback, and shareable keepsakes. We may add, change, or remove features over time.

Transcription and translation are produced with automated (AI) tools. They are helpful but not perfect and may contain errors, mistranslations, or misattributed speakers. Do not rely on them for medical, legal, financial, or other consequential decisions.

3. Recording other people — consent is your responsibility

This is the most important part of these Terms. When you record another person — in the same room, or by sending them a link to record themselves — you represent and warrant that you have obtained that person’s informed consent to be recorded, transcribed, translated, stored, and shared with the family members you invite, before the recording is made.

Recording laws vary by state and country. Some places (including California) generally require the consent of all parties to record a private conversation. You are responsible for knowing and complying with the laws that apply to you and to the person you are recording. You may not use GramGrams to record anyone secretly, deceptively, or without a lawful basis, or to record anyone who lacks the capacity to consent unless you are their legal guardian or authorized representative and it is in their interest.

You are responsible for anyone you invite via a shared recording link and for the content they submit through it. You agree to indemnify MAGIM for claims arising from a recording you made or caused to be made without proper consent, as described in Section 12.

4. Your content and who owns it

As between you and MAGIM, you and your family own the recordings, transcripts, photos, and other content you create or upload (“Your Content”). We do not claim ownership of it.

You grant MAGIM a limited, worldwide, non-exclusive license to host, store, copy, process, transcribe, translate, display, and transmit Your Content solely to operate and provide the Service to you — for example, to generate a transcript, translate a conversation, play back audio, or produce a keepsake you asked for. This license exists only so we can run the Service and ends when Your Content is deleted, except for backup copies retained for a limited time or as required by law.

We do not sell Your Content, and we do not use the actual substance of your recordings or transcripts to train artificial-intelligence models. How we handle your information is described in our Privacy Policy.

5. Third-party processing

To provide the Service we use trusted third-party providers — for example, cloud hosting and storage, and AI providers that perform transcription and translation. Your Content may be processed by these providers only to deliver the Service. Their handling of data is subject to their own terms, and we choose providers that do not use your content to train their models where we can control that.

6. Acceptable use

You agree not to use the Service to:

  • record or upload anyone without the consent required by Section 3;
  • upload content that is unlawful, infringing, harassing, hateful, or that violates the rights or privacy of others;
  • impersonate anyone, or misrepresent your relationship to a person you record;
  • attempt to access another family’s content, or to probe, scan, or breach the security of the Service;
  • resell, sublicense, or commercially exploit the Service without our written permission; or
  • interfere with the Service or use it to build a competing product.

We may remove content or suspend accounts that violate these Terms, though we are not obligated to monitor content.

7. Purchases, gifts, and refunds

Some features are paid. Prices and what is included are shown at the point of purchase. Most purchases are one-time payments for a specific deliverable (for example, unlocking conversations for one person, or a keepsake), not recurring subscriptions, unless clearly stated otherwise. Payments are processed by our third-party payment processor; by purchasing, you also agree to their terms.

You may buy a gift for another person; the gift’s benefits apply to the recipient and the family they set up. Because purchases unlock digital services that are made available to you immediately, all sales are final except where a refund is required by law or expressly offered. If something went wrong with a purchase, contact us at gramgrams@magim.online and we will try to make it right.

8. Keeping your recordings — storage and availability

We work hard to keep your recordings safe and to keep the Service available, and we build in safeguards against lost recordings. But we cannot promise the Service will be uninterrupted, error-free, or available forever. GramGrams is not a substitute for your own backup. For anything truly irreplaceable, please download and keep your own copy of the audio and transcript, which the Service lets you do.

9. Deleting content, and what happens over time

You can delete Your Content or your account. When you do, we will remove or de-identify it within a reasonable period, except for limited backups or records we must keep by law. Deletion may be irreversible, so please be sure — and download anything you want to keep first.

Because GramGrams often preserves the words of people who have passed or will pass away, please handle access thoughtfully within your family. If you need help with access to a deceased loved one’s recordings, contact us and we will do our best to help in line with the law and the wishes of those involved.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that transcriptions or translations are accurate or complete, that the Service will meet your needs, or that recordings will always be preserved or recoverable. The Service is not for emergencies and is not a medical, legal, or professional service.

11. Limitation of liability

To the fullest extent permitted by law, MAGIM and its owners and providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, recordings, profits, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or fifty U.S. dollars ($50). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless MAGIM and its owners and providers from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, your violation of these Terms, or — importantly — your recording of any person without the consent required by Section 3.

13. Changes to the Service and these Terms

We may update the Service and these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect means you accept the updated Terms.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination — including content ownership, disclaimers, limitation of liability, and indemnification — will survive.

15. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Before filing anything, you agree to first contact us at gramgrams@magim.online so we can try to resolve the matter informally. Any dispute that cannot be resolved will be brought exclusively in the state or federal courts located in California, and you consent to their jurisdiction.
